Amounts included in AEG PS Group's order backlog may not result in actual revenues or translate
into profits.
As at 30 September 2010, AEG PS Group's order backlog was approximately EUR 153.6 million. Al-
though this amount is based on signed purchase orders or other written contractual commitments, there
can be no assurance that this order backlog will result in actual revenues in the originally anticipated pe-
riod or at all. AEG PS Group's customers may experience project delays, cancel orders or fail to make
payments for AEG PS Group's products and services as a result of external market factors or for other
reasons beyond AEG PS Group's control. For example, AEG PS Group is currently involved in court pro-
ceedings against a customer from which it seeks to recover approximately EUR 36.0 million against de-
livery of 104 power control systems and modules for silicon reactors which, according to Management's
assessment, the customer had agreed to purchase by 31 December 2009 (see:Description of the Issuer –
Business of the Issuer – Legal Proceedings”). The customer rejects this claim asserting that a fixed pur-
chase of the power control systems and modules had not been agreed upon. If AEG PS Group's order
backlog fails to result in revenues in a timely manner or at all, this could have a material adverse effect on
AEG PS Group's business, results of operations and financial condition.
AEG PS Group experiences customer concentration in many of its sub-segments.
In many of its sub-segments AEG PS Group generates a significant portion of its revenues with a rela-
tively small number of customers such as Alcatel-Lucent in the Communications sub-segment. AEG PS
Group anticipates that its dependence on a limited number of customers in these sub-segments will con-
tinue for the foreseeable future, and there is a risk that existing customers may not elect to do business
with AEG PS Group in the future or will experience financial difficulties. Furthermore, many customers
in the RES segment are at an early stage of their business development and are dependent on bank loans
and the equity or debt capital markets to finance their purchases of AEG PS Group's products. As a result,
the default in payment by any such major customer, the loss of existing orders or lack of new orders in a
specific financial period, or a change in the product acceptance schedule by such customers in a specific
financial period, could have a material adverse effect on AEG PS Group's business, results of operations
and financial condition.
AEG PS Group may not be able to manage the intended growth of its Renewable Energy Solutions
segment effectively.
Until 2009 AEG PS Group experienced a period of high growth, mainly driven by the demand from
polysilicon manufacturers. In the first nine months of 2010, demand for solar inverters increased signifi-
cantly. The success of AEG PS Group's growth plans for its RES segment (see: “Description of the Issuer
- Business of the Issuer - Strategy”) depends on many different factors, such as its ability to maintain and
expand relationships with customers, suppliers and other third parties, improve its operational and finan-
cial systems, enhance internal procedures and controls, increase its manufacturing capacity, and recruit,
train and retain management, technicians and other skilled employees. It can, however, not be guaranteed
that current and planned operations, personnel, systems, internal procedures and controls will be adequate
to support AEG PS Group's growth. Should AEG PS Group be unable to manage its growth effectively, it
may not be able successfully execute its business strategy. This could have a material adverse effect on its
business, results of operations and financial condition.
