Supply Agreement
AEG PS Group entered into a supply agreement with one major supplier of high power semi-conductor
disks according to which AEG PS Group has an option to receive at least 5,000 high power semi-
conductor disks per month in the period between May 2009 and December 2012 AEG PS Group made an
(investment-supporting) advance payment of EUR 6,000,000 of which EUR 1,300,000 were reimbursed
by 30 June 2009 and the remaining amount of EUR 4,700,000 is to be reimbursed through price reduc-
tions on the purchases of products until December 2012. Until the end of 2011, AEG PS Group must pro-
cure at least 70 % of its demand for these products from the supplier provided that the suppliers' world-
wide market share for high power discs does not exceed 30 %. Due to the economic downturn, AEG PS
Group was not able to place the orders required to be reimbursed for the advance payment with this sup-
plier and therefore the parties agreed to extend the term of the agreement on the basis of reduced order
amounts until the end of 2014. Concurrently, the price reductions initially agreed were reduced. However,
the agreement allows for a renegotiation of the purchase prices from 1 February 2011 on.
Furthermore, AEG PS Group has entered into a long term supply agreement with a manufacturer of bipo-
lar discrete devices under which AEG PS Group agreed to finance the expansion of production facilities
of such supplier and shall in return receive a discount on supplies ordered.
Trademark Licensing Agreement with AB Electrolux
With effect from 1 July 2008, the Guarantor entered into a trademark license agreement with AB Elec-
trolux (publ) (“AB Electrolux”) regarding the license of the “AEG” trademark worldwide (except for
Iran, Sudan, Syria, North Korea, Cuba) which granted AEG PS Group the right to use the “AEG” trade-
mark for, among other things, uninterruptible power supplies; switch mode power supplies; power control
systems and modules and DC power supply systems for an initial term of 10 years (the “AEG License”).
AEG PS Group and AB Electrolux amended the trademark license agreement on 2 September 2010 with
effect as of 27 July 2010 to expand the range of products covered by the AEG License and to set sale and
minimum royalty targets through 2014. The term of the AEG License was extended until 2028. The AEG
License provides for a largely exclusive license under certain conditions. These conditions include,
among other things, approval by AB Electrolux of the trade marketed products against the quality stan-
dards set by AB Electrolux, denial by AB Electrolux of any product liability or other warranty claims, a
sales target and prior approval by AB Electrolux of the suppliers used by AEG PS Group.
AB Electrolux may assign the trademark license agreement as well as any rights and obligations there-
under to any person or company without the consent of AEG PS Group, provided however that such as-
signment does not affect the validity of the granted license. AB Electrolux also may amend the trademark
rules.
An annual royalty of either EUR 2.783 million, or if this amount is greater than 1 % of the total net sell-
ing price of all products trademarked, 1 % of such total net selling price of all products trademarked is
payable for the year 2010. Beginning in 2011, the royalty payable is based on actual sales only and
amounts to 1 to 1.5 % of the total net selling rice of the products trademarked.
