General Information on the Guarantor
Formation, Business Name, Registered Office, Financial Year, Duration and Term of the Guarantor
The Guarantor was incorporated under the laws of The Netherlands as a private company with limited
liability (besloten vennootschap met beperkte aansprakelijkheid) on 23 September 2004. The Guarantor
as well as many of its subsidiaries operates under the name “AEG Power Solutions” for business pur-
poses. On 10 September 2009, the Issuer indirectly acquired the Guarantor through the Business Combi-
nation.
The company number of the Guarantor with the Amsterdam Chamber of Commerce is 27270545. The
Guarantor’s registered office and business address is at Weerenweg 29, 1161 AH Zwanenburg, The Neth-
erlands, telephone number +31 20 4077800. Information about the Guarantor can be found on the follow-
ing internet address: www.aegps.com.
The financial year of the Guarantor equals the calendar year and runs from 1 January to 31 December of
each year. The term of the Guarantor is unlimited.
Business Purpose of the Guarantor
Pursuant to Article 2 of its articles of association the Guarantor's purpose is:
(a) Trading in and developing products for accumulative static transformers (accumulatieve statische
omzetters) and other electro technical products;
(b) Rendering services, especially services related to the trading in and manufacturing of products,
either for its own account or jointly with or solely for the account of third parties;
(c) The acquisition, management and disposal of securities;
(d) The acquisition, management and disposal of (shareholder) rights in commercial, industrial, finan-
cial or real estate businesses or legal entities, by way of incorporation, contributing into or the ac-
quisition or disposal of shares or similar rights or the entry into a merger, joint ventures or other-
wise;
(e) Rendering services to its group companies;
(f) Participating in, financing of, otherwise taking an interest in or carrying out management tasks in
relation to other businesses and legal entities;
(g) Entering into debt or other obligations;
(h) Issuing guaranties, granting security rights or otherwise warranting the performance or jointly and
severally (hoofdelijk) acting as an obligor in relation to obligations of its group companies;
(i) The acquisition, development and trading in royalties, patents, trademarks, licences, know-how
and other industrial and intellectual property rights; and
(j) Performing all kinds of activities which may be conducive to any of the foregoing.
Auditors
The Guarantor’s unconsolidated financial statements as at and for the year 31 December 2009 under
Dutch GAAP have been audited by KPMG Accountants N.V., Laan van Langerhuize 1, 1186 DS Am-
stelveen, The Netherlands (“KPMG Accountants”), independent accountants, as stated in their reports
appearing elsewhere herein and are accompanied by an unqualified auditor's report, copies of which are
included in this Prospectus.
