Peter Bon

Mr. Peter Bon has been a Director of the Guarantor since 23 January 2006.

Peter Bon has been with AEG PS Group for 30 years, serving as a President of Industrial Power, General

Manager of Industrial Systems and Managing Director of Benelux prior to his current position. During his

tenure at AEG PS Group, he has also held various positions at Nife Netherlands B.V., most recently serv-

ing as Deputy Managing Director for the Netherlands. Mr. Bon is a graduate of MTS Electrotechniek and

HTS Hoger Vermogens Electronica with a Bachelor’s degree in High Power Electronics. The business

address of Mr. Bon is Weerenweg 29, 1161 AH Zwanenburg, The Netherlands.

During the preceding five years, none of the Directors of the Guarantor have been publicly accused of or

convicted of any fraudulent offences, served as an officer or director of any company subject to a bank-

ruptcy, receivership or liquidation, been the subject of any public incrimination or of sanctions by a statu-

tory or regulatory authority (including designated professional bodies) or been disqualified by any court

of competent jurisdiction from acting as a member of the administrative, management or supervisory

body of any issuer or from participating in the management or conduct of the affairs of any issuer.

Corporate Governance

Since the shares of the Guarantor are not listed on any stock exchange the Guarantor is not required to

comply with corporate governance rules of a stock exchange.

Conflicts of Interest

General

In case of a conflict of interest between the Guarantor and a Director, it being understood that the mere

fact that the Director serves as a Director of the Guarantor’s shareholder or of an affiliated company of its

shareholder shall not constitute a conflict of interest, each Director remains authorised to represent the

Guarantor towards third parties. However, the Guarantor’s general meeting of shareholders may at all

times appoint one or more (third) parties to represent the Guarantor in case of a conflict of interest be-

tween the Guarantor and a Director.
