Expand product offering and geographical reach in Solar Solutions sub-segment: With re-
gards to the Solar Solutions sub-segment, Management intends to extend its product offering and
its distribution reach by expanding into new markets, in particular in key geographic growth areas
of Asia and North America. AEG PS Group intends its product offering of inverters (excluding
string inverters). While Management expects to be able to reach this aim through AEG PS Group's
own product development capabilities in Europe, elsewhere this might require the acquisition of
technology and/or product development capabilities, especially in North America. AEG PS Group
also intends to establish new distribution channels with the aim of distributing its inverter product
portfolio more internationally. As at 30 September 2010, AEG PS Group employed approximately
155 service and installation engineers. As the power electronic components are usually the critical
and most complicated parts and interact with the other components of a system, these engineers
have a thorough and complete understanding of the systems into which they integrate AEG PS
Group's products. In order to make use of this valuable expertise, Management intends to put a
stronger emphasis on the provision of turn-key solutions for photovoltaic systems. Management
believes turn-key solutions to be a catalyst and an additional distribution channel for its solar solu-
tions equipment, in particular, its inverters. In line with this strategic goal, AEG PS Group recently
launched its turn-key solutions and its operations and management services offering for photo-
voltaic systems. The recent acquisition of skytron, one of the leading suppliers of monitoring and
control systems for utility scale photovoltaic systems underpins Management's belief in the long
term growth prospects of the photovoltaic industry. Should additional financing be available to
AEG PS Group at attractive terms and conditions, Managements intends to pursue the growth op-
portunities in its RES segment more aggressively than would otherwise be the case.
Capitalise on the historic engineering strength associated with the "AEG" brand in the
power electronics industry: The “AEG” brand has been established in the electronics industry for
more than 50 years. AEG PS Group uses the “AEG” trademark under a license agreement it has
entered into with AB Electrolux in 2008 (see: Description of the Issuer - Business of the Issuer -
Material Contracts - Trademark Licensing Agreement with AB Electrolux”). Management believes
that, in the industry in which AEG PS Group operates, the “AEG” brand stands for high product
quality and reliability. Management intends to make use of that favourable perception by using the
“AEG” brand for almost all of AEG PS Group's products and services. Except for its monitoring
and control solutions for photovoltaic systems which will remain under the skytron brand, all
products and services which are currently offered under a different brand are intended to be re-
branded to the “AEG” brand.
Restructure and focus the EES segment on servicing large key accounts through a lean or-
ganisational structure: In its EES segment, AEG PS Group reported an operating loss of
EUR 13.7 million in the first nine months of 2010. Management intends to restructure the EES in
order to reach a higher level of organisational efficiency in order to return to an adequate level of
profitability. To this end, a thorough review of the EES segment is currently being conducted. Re-
structuring measures shall be implemented once this review process results in a sound understand-
ing of cost-cutting potential. These could include a focus on certain key regions and vertical end-
markets, a reduction of workforce, a decrease in distribution costs and R&D spending and similar
other measures. Management intends to focus the EES business on serving profitable industrial
key accounts. In addition, Management intends to focus on selected applications that it deems to
be promising, such as LED lighting, hybrid DC telecommunication solutions and hybrid solar so-
lutions.
