10. Transactions with related parties

The Company has related party relationships with its subsidiaries. These involve trading transactions for goods

and services, the levying of headquarter charges, the receipt of royalties and research and development funding.

All such related party transactions are carried out on an arm’s length basis.

The profit before tax for the nine month period ended 30 September 2010 included €5,764,000 (2009

€11,610,000) of royalties received from subsidiaries for the use of patents owned by the Company offset by

€8,709,000 (2009: € 8,889,000) paid by the Company to subsidiaries for costs incurred on research and devel-

opment projects on behalf of the Company.

The outstanding loans and receivables have been disclosed in the related notes hereto.

As a result of the acquisition of AEG Power Solutions by Germany1 Acquisition Limited all shares of the Com-

pany were transferred to Germany1 Acquisition BV.

Board remuneration

The board consists of two directors, one director is paid by AEG Power Solutions Germany and one director is

paid by AEG Power Solutions B.V. the Netherlands. The remuneration of the director of AEG Power Solutions

B.V. the Netherlands for the nine month period 2010 was € 182, 000 (2009 € 172,000).
